Adventus AI LLC — Terms of Use

Welcome to Adventus AI LLC (“we,” “us,” “our”) application (the “App”). The App uses artificial intelligence (“AI”) and manual research to gather data relating to commercial and residential buildings (“Property Data”) and to help prefill property insurance application forms for building owners.

By downloading, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use (“Terms”). If you do not agree, you may not use the App.

Acceptance of Terms By using the App, you accept these Terms and our Privacy Policy (provide link).

You represent and warrant that you have the legal capacity to enter into a binding agreement with us and that you will comply with all applicable laws and regulations when using the App.

Eligibility You must be at least 18 years old (or the age of majority in your jurisdiction) to use the App.

If you use the App on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Account Registration and Security Account Creation: Certain features of the App may require you to create an account. You agree to provide accurate and complete information during registration and to keep this information up to date.

Account Security: You are responsible for safeguarding your account login credentials and for all activities under your account. Please notify us immediately if you suspect any unauthorized use of your account.

No Liability for Unauthorized Use: We are not liable for any loss or damage arising from your failure to maintain the confidentiality of your account credentials.

License and Use of the App License Grant: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on your personal device for the purpose of gathering Property Data and prefilling insurance application forms.

Prohibited Uses: You agree not to:

Reverse engineer, decompile, or disassemble the App or any part thereof.
Modify, copy, distribute, display, publish, or create derivative works from any portion of the App without our express written consent.
Use the App for any illegal, fraudulent, or unauthorized purpose.
Use the App in a manner that disrupts, interferes with, or creates an undue burden on our servers or networks.

User Data and Content Definition of User Data “User Data” includes any data, information, files, or content that you or your customers (“Customer Data”) provide or upload to the App, excluding Property Data described in Section 6. This may include personal or sensitive information about your customers, insurance applicants, or any other third parties.

Ownership of User Data You retain all rights, title, and interest in and to your User Data. Adventus AI LLC does not own, claim ownership in, or assume any rights to your User Data, other than the limited licenses necessary to provide the App’s functionality as outlined below.

License to Adventus AI LLC By providing or uploading User Data to the App, you grant Adventus AI LLC and its service providers a worldwide, non-exclusive, royalty-free, revocable license to host, store, process, and transmit your User Data for the sole purpose of operating, maintaining, and improving the App and related services.

We will not use your User Data for any purpose other than as necessary to provide the App’s functionality, comply with the law, or as otherwise authorized by you.

User Responsibilities You are solely responsible for the accuracy, quality, and legality of the User Data and the means by which you acquired it.

You represent and warrant that you have all necessary rights and consents to upload and share User Data in the App and that doing so does not violate any applicable laws or regulations, or any agreements with third parties.

If the User Data contains personal or sensitive information about third parties, you confirm that you have the lawful basis to process and share such data through the App.

Confidentiality and Security We implement reasonable technical and organizational measures to protect your User Data. However, no security system is impenetrable, and we cannot guarantee that unauthorized third parties will never be able to overcome those measures.

You agree to promptly notify us of any suspected or actual unauthorized access to or use of your User Data.

Deletion of User Data You may delete your User Data at any time by using the App’s available tools or by closing your account. Following deletion, we will use commercially reasonable efforts to remove your User Data from our active databases. However, residual copies may remain in our backup or archival systems for a limited time.

Property Data (AI-Generated and Manually Collected) Nature of Property Data The App uses AI technology, including third-party services such as Perplexity AI, to gather and prefill property-related data (e.g., building characteristics, measurements) from publicly available sources (e.g., Zillow, Trulia, Yardi Matrix). Additionally, Adventus AI LLC staff may manually collect and supplement Property Data from other publicly accessible sources, such as city or county property portals. In all cases, the source of the data will be cited within the App or in the generated reports when applicable.

User Responsibility for Verification You are solely responsible for verifying the accuracy and completeness of all Property Data.

You agree to cross-check the data with additional sources and verify it with the building owner before submitting any insurance application.

User Contributions Users may also add additional data to the reports at their discretion. Adventus AI LLC does not review, validate, or assume responsibility for any user-added data.

Disclaimer Adventus AI LLC does not originate or validate the underlying property data retrieved by Perplexity AI, other third-party sources, or manual research. All Property Data is provided strictly “as-is” for informational purposes, without warranties of any kind.

User Obligations Accuracy of Submissions When using Property Data to fill out insurance applications, you agree to confirm all information with the building owner.

You acknowledge that failure to verify the data can lead to inaccurate submissions, which may result in claim denials, policy cancellations, or other adverse outcomes.

Compliance with Law You agree to comply with all applicable laws, regulations, and industry standards, including insurance laws and privacy/data protection requirements.

No Impersonation or Misrepresentation You agree not to impersonate any person or entity or misrepresent your affiliation with any person or entity.

Intellectual Property Ownership All content, features, and functionality of the App (excluding User Data and Property Data), including but not limited to text, graphics, logos, icons, images, audio clips, video clips, and software (the “App Content”), are the exclusive property of Adventus AI LLC or its licensors.

Trademarks “Adventus AI LLC” and any associated logos are trademarks of Adventus AI LLC. You may not use our trademarks without our prior written consent.

Feedback If you choose to provide feedback or suggestions about the App, you grant us a perpetual, non-exclusive, royalty-free license to use and incorporate your feedback for any purpose.

Third-Party Services and Links Certain property-related data may be obtained via Perplexity AI, which in turn references publicly available data from third-party sources such as Zillow, Trulia, and Yardi Matrix. Adventus AI LLC does not guarantee the availability, accuracy, or legality of this third-party content. Users are responsible for reviewing and validating all third-party data prior to use.

The App may also contain links to other third-party websites or services that are not operated by us. We do not endorse or assume responsibility for any third-party content, products, or services.

Disclaimer of Warranties “AS IS” and “AS AVAILABLE”: The App and all Property Data are offered on an “as is” and “as available” basis, without any warranties of any kind, express or implied.

AI and Manual Research Limitations: You acknowledge the inherent limitations of AI technology and manual research, including potential inaccuracies, incomplete data, or outdated information.

No Warranties: We expressly disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

No Guarantee: We do not guarantee that the App will be uninterrupted, error-free, secure, or that any errors will be corrected.

Limitation of Liability No Liability for Data Accuracy Adventus AI LLC shall not be liable for any damages arising from inaccuracies, errors, or omissions in Property Data, including data sourced via Perplexity AI, manual research, or user contributions.

Exclusion of Certain Damages To the fullest extent permitted by law, Adventus AI LLC and its officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses arising out of or related to your use of (or inability to use) the App.

Maximum Liability If any liability is found, our aggregate liability to you for any claim arising from or relating to the App or these Terms will not exceed the amount you paid to us for access or use of the App in the 12 months immediately preceding the event giving rise to the liability or USD $100, whichever is greater.

Indemnification You agree to indemnify, defend, and hold harmless Adventus AI LLC and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

Your use of the App or any Property Data (AI-generated, manually sourced, or user-added).
Your violation of these Terms or any applicable law.
Any claims arising from the inaccuracy of the data you submit to any insurance provider.
Your handling or misuse of User Data, including any failure to obtain necessary consents or comply with relevant privacy laws.

Termination Termination by You: You may discontinue use of the App at any time.

Termination by Us: We may suspend or terminate your access to the App at any time, for any reason, including non-compliance with these Terms, without prior notice.

Effect of Termination: Upon termination, you must cease all use of the App. Any provisions of these Terms that, by their nature, should survive termination shall survive, including those relating to limitation of liability, disclaimers, and indemnification.

Governing Law and Dispute Resolution Governing Law: These Terms and any dispute arising out of or relating to them shall be governed by the laws of the State of [State], United States, without regard to conflict-of-law principles.

Dispute Resolution: Any disputes shall be resolved exclusively in the federal or state courts located in [County, State], and you consent to the personal jurisdiction of such courts.

Changes to These Terms We may revise these Terms from time to time. Any changes will be posted within the App or on our website and become effective immediately upon posting. Your continued use of the App following the posting of changes indicates your acceptance of those changes. We encourage you to review these Terms periodically.
Miscellaneous Severability: If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Adventus AI LLC regarding the App and supersede all prior agreements or understandings.

No Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may freely assign these Terms.
