Adventus, Inc. — Terms of Use

Welcome to Adventus, Inc. (“we,” “us,” “our”). Adventus, Inc. is a Delaware corporation. These Terms of Use (“Terms”) govern your access to and use of the Adventus application (the “App”). The App uses artificial intelligence (“AI”), paid property data vendors, imagery analysis (e.g., street view and satellite imagery), and manual research to gather and analyze data relating to commercial and residential buildings (“Property Data”) to assist in prefilling property insurance application forms.

By downloading, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the App.

1. Acceptance of Terms

By using the App, you accept these Terms and our Privacy Policy.
You represent and warrant that you have the legal capacity to enter into a binding agreement and that you will comply with all applicable laws.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction).
If you use the App on behalf of an organization, you represent that you have authority to bind that entity.

3. Account Registration and Security

Account Creation: You agree to provide accurate and current information.
Security: You are responsible for safeguarding your login credentials.
Unauthorized Use: Adventus, Inc. is not liable for losses due to compromised accounts.

4. License and Use of the App

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App to gather Property Data and prefill insurance-related forms.

Prohibited Uses:
You agree not to:

Reverse engineer, disassemble, or attempt to extract source code;
Copy, modify, or create derivative works without written consent;
Use the App for unlawful purposes;
Interfere with or disrupt the App’s operation or servers.

5. User Data and Content

Definition: “User Data” means any data you or your customers provide to the App (excluding Property Data).
Ownership: You retain all rights in your User Data.
License to Adventus, Inc.: You grant us a worldwide, royalty-free license to host, process, and transmit User Data solely to operate and improve the App.
Responsibility: You are responsible for the legality, accuracy, and permissions related to any User Data.
Security: We use reasonable safeguards but cannot guarantee absolute security.
Deletion: You may delete User Data, though temporary backups may persist.

6. Property Data (AI-Generated, Inferred, Vendor-Sourced & Manually Collected)

Nature of Property Data

The App gathers, infers, and analyzes data using:

AI models,
Third-party data vendors,
Satellite & street-level imagery,
Public and licensed records,
Manual review.

Some Property Data consists of estimates or inferences, not verified facts.
Confidence indicators (if shown) are informational only and not guarantees.

User Responsibility

You are solely responsible for verifying all Property Data prior to using it for underwriting, quoting, or client communication.

User Contributions

User-added data is not verified by Adventus, Inc.

7. In-App and Report Disclaimers

The App may display disclaimers, confidence indicators, or notices reflecting uncertainty or estimation in Property Data.
These disclaimers apply to all data delivered by the App and may be included in exported reports.

8. User Obligations

You agree to:

Verify all Property Data with the property owner before using it in insurance workflows;
Comply with all applicable insurance, privacy, and data-protection laws;
Not impersonate others or misrepresent your identity or affiliation.

9. Intellectual Property

All App content, code, and functionality (excluding User Data and Property Data) are the property of Adventus, Inc. or its licensors.

“Adventus,” “Adventus AI,” and related marks are trademarks of Adventus, Inc. and may not be used without written permission.

10. Feedback

If you provide ideas, suggestions, or feedback, you grant us a perpetual, royalty-free license to use them for any purpose.

11. Third-Party Services and Links

We may rely on third-party vendors (including data providers such as Perplexity AI, Zillow, Trulia, Yardi Matrix, etc.).
Adventus, Inc. does not warrant the accuracy, availability, or legality of third-party data and is not responsible for external sites or services.

12. Disclaimer of Warranties

The App and all Property Data are provided “as is” and “as available.”

You acknowledge the inherent limitations of:

AI outputs,
Third-party vendor data,
Imagery-based interpretation,
Manual research.

We disclaim all warranties, express or implied, including merchantability, fitness for a purpose, and non-infringement.

13. Limitation of Liability

To the fullest extent permitted by law:

No liability for Property Data accuracy: Adventus, Inc. is not responsible for inaccuracies or omissions in any Property Data.
No consequential damages: We are not liable for lost profits, lost data, business interruption, or indirect damages.
Maximum liability: Our total liability for any claim will not exceed the greater of:
- The fees you paid in the preceding 12 months, or
- $100 USD.

These limitations apply to Adventus, Inc., its directors, officers, employees, and agents.

14. Indemnification

You agree to defend and indemnify Adventus, Inc. and its directors, officers, employees, and agents against claims arising from:

Your use of the App or Property Data;
Your violation of these Terms or any law;
Inaccuracy of information you provide to insurers;
Your handling or misuse of User Data.

15. Termination

We may suspend or terminate your access at any time.
Upon termination, you must stop using the App.
Sections relating to liability, disclaimers, and indemnification will survive termination.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware (or your preferred state), excluding conflict-of-law principles.

Disputes must be brought exclusively in the state or federal courts located in [County], [State], and you consent to jurisdiction there.

17. Changes to These Terms

We may revise these Terms at any time. Updates become effective upon posting. Your continued use constitutes acceptance.

18. Miscellaneous

Severability: Invalid provisions do not affect the remaining Terms.
Entire Agreement: These Terms and our Privacy Policy form the complete agreement between you and Adventus, Inc.
No Waiver: Failure to enforce rights is not a waiver.
Assignment: You may not assign these Terms without consent. Adventus, Inc. may assign them to affiliates, successors, or acquirers.
